Acceptance of Terms

By accessing or using the ABF.ai Portfolio Manager platform ("Service") operated by ABF.ai ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

Description of Service

ABF.ai provides an AI-native portfolio management platform for asset-based finance professionals. The Service includes tools for loan tape analysis, deal document management, portfolio analytics, and related functionality.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Accounts are for individual use only and may not be shared.

Your Data

You retain all ownership rights to data you upload to the platform, including loan tapes, deal documents, and portfolio information. We do not claim ownership of your data. By uploading data, you grant us a limited license to process it solely for the purpose of providing the Service to you.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Share, resell, or redistribute access to the Service without our written consent.
• Upload content that infringes on third-party intellectual property rights.
• Introduce malicious code, viruses, or any harmful technology.

Confidentiality

We treat all data and information you provide through the Service as confidential. We will not disclose your information to third parties except as required to provide the Service, comply with law, or with your explicit consent. We are willing to enter into NDA arrangements upon request.

Intellectual Property

The Service, including its design, features, code, and documentation, is owned by ABF.ai and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or brand assets.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance and will endeavor to provide advance notice. We are not liable for temporary unavailability due to maintenance, updates, or circumstances beyond our control.

Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, ABF.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless ABF.ai and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

Termination

Either party may terminate access at any time. Upon termination, we will make your data available for export for 30 days, after which it will be deleted. We may suspend access immediately if we reasonably believe you have violated these Terms.

Modifications

We may update these Terms from time to time. Material changes will be communicated via the email associated with your account or by prominent notice on the platform. Continued use after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in New York County, New York.
